Terms of Service

Article 1 (Application)

1. These Terms apply to the viewing and use of the website "nichiwashoji.jp" and the official online store operated by Nichiwa Shoji Co., Ltd. (the "Company") (collectively, the "Site"), and to the purchase of products through the Site. These Terms constitute standard terms and conditions as defined in Article 548-2, Paragraph 1 of the Civil Code. By using the Site or ordering products, you are deemed to have agreed to these Terms.

2. The "Notation based on the Specified Commercial Transactions Act" and the "Privacy Policy" posted on the Site form part of these Terms. Where these provisions differ from these Terms, the individual provisions prevail.

3. Purchases made through external online marketplaces or other third-party platforms on which the Company sells are governed by the terms of use, etc. of the platform operator and the Company's seller information on that platform, and these Terms do not apply. However, the Company's policy of not selling alcoholic beverages to persons under 20 (Article 2) applies to all sales channels.

Article 2 (Age Restriction and Age Verification)

1. Purchases of alcoholic beverages on the Site are limited to persons aged 20 or older.

2. In addition to asking you to confirm that you are 20 or older at the entrance of the Site, etc., the Company verifies age when you order by having you complete the age verification field on the order screen or by other methods designated by the Company. We may also ask for age verification at delivery or at other times as necessary. If age cannot be verified, the Company may decline the order or refuse delivery of the products.

3. You must not resell or provide alcoholic beverages to persons under 20 for drinking purposes.

Article 3 (Accounts)

1. Membership registration is not required to purchase products on the Site. The Company may provide account features on the Site.

2. When using account features, you must register true and accurate information and promptly update it if it changes. You are responsible for managing your authentication information such as your ID and password, and any actions taken using your authentication information are deemed to be your actions.

3. The Company may refuse registration if the applicant is under 20, has previously violated these Terms, or if the Company otherwise determines that registration is inappropriate.

Article 4 (Product Information and Prices)

1. All product prices are displayed as the total amount including consumption tax. Shipping and other charges are as set out in the "Notation based on the Specified Commercial Transactions Act".

2. Due to the nature of the products, the vintage, label design, alcohol content, volume, etc. may change without notice. Product images may differ from the actual products in color, etc.

3. In the event of an obvious error in display (such as a misplaced digit in a price), the Company may, whether before or after the contract is formed, correct the error and ask you to confirm, or cancel the order.

Article 5 (Orders and Formation of Sales Contract)

1. A sales contract is not yet formed when you complete the order procedure on the Site. The automatically sent order confirmation email is a confirmation of the order details and not a notice of acceptance.

2. A sales contract is formed when the Company sends you the shipping notification email.

3. The Company may decline an order in any of the following cases: (1) age cannot be verified; (2) the order is suspected to be fraudulent; (3) the delivery address is incomplete; (4) stock cannot be secured; (5) you have previously violated these Terms; (6) there is any other reasonable ground.

Article 6 (Payment Methods and Timing)

Payment methods and timing are as set out in the "Notation based on the Specified Commercial Transactions Act".

Article 7 (Shipping and Delivery)

1. Delivery addresses are limited to Japan.

2. The delivery company or the Company may ask you to verify your age at delivery.

3. If the products cannot be delivered due to your prolonged absence, refusal to accept, unknown delivery address, etc., the Company may, after attempting to contact you within a reasonable period, cancel the order and refund the amount already paid less actual costs (such as round-trip shipping).

4. The Company is not liable for delays in or failure of delivery due to natural disasters, traffic conditions, circumstances of the delivery company, or other causes not attributable to the Company.

Article 8 (Transfer of Ownership and Risk)

Ownership of the products passes to you when full payment is completed, and the risk of loss of or damage to the products passes to you when delivery is completed.

Article 9 (Cancellations and Returns)

1. Order cancellations are accepted only before shipping preparation begins, by phone (03-6826-3883; reception hours: weekdays 9:00–18:00, excluding weekends, national holidays and the year-end/New Year holidays) or by email at info@nichiwashoji.jp. Cancellations cannot be accepted after the shipping notification email has been sent.

2. Due to the nature of alcoholic beverages and food, returns and exchanges for customer reasons (e.g., the product differs from what you expected, or you ordered the wrong item) are not accepted.

3. In the following cases, please contact us within 7 days of arrival. For unopened products only, we will exchange or refund at our expense: (1) damage in transit (broken bottles, leaks, etc.); (2) quality defects; (3) receipt of items different from your order. When contacting us, please provide your order number and photos showing the condition. If a replacement is out of stock, we will issue a refund.

4. The content of this Article is identical to the special terms for returns in the "Notation based on the Specified Commercial Transactions Act".

5. As stated in Article 1, Paragraph 3, these Terms do not apply to purchases on external online marketplaces or other third-party platforms, and cancellations and returns are subject to the return policy and procedures of the relevant platform.

Article 10 (Intellectual Property Rights)

Copyrights, trademark rights and other rights in the content on the Site (including text, images, videos, logos, trademarks and designs) belong to the Company or the legitimate rights holders. Unauthorized reproduction, copying, modification or secondary use beyond the extent permitted by law is prohibited.

Article 11 (Prohibited Acts)

You must not: (1) violate laws or public order and morals; (2) resell or provide alcoholic beverages to persons under 20; (3) register or order with false information; (4) interfere with the operation of the Site; (5) gain unauthorized access or place automated orders using bots, etc.; (6) infringe the rights or interests of the Company, other customers or third parties; (7) engage in any other act that the Company reasonably determines to be inappropriate.

Article 12 (Changes, Suspension and Termination of the Site)

The Company may temporarily suspend all or part of the Site, or change or terminate its content, due to maintenance, system failures, communication line accidents, force majeure or other reasons. Except in emergencies, the Company will endeavor to give prior notice by reasonable means.

Article 13 (Suspension of Use, etc.)

If you violate these Terms, or if the Company reasonably determines that there is a risk of such violation, the Company may, without prior notice, cancel your orders, suspend your use of the Site, or, where account features are provided, delete your account.

Article 14 (Disclaimer and Limitation of Liability)

1. The Company endeavors to ensure the accuracy and completeness of the information on the Site but does not guarantee its content. The Company is not responsible for third-party websites linked from the Site.

2. Except in cases of willful misconduct or gross negligence by the Company, the Company is liable for damages incurred by you in connection with the use of the Site or the purchase of products only to the extent of ordinary damages directly and actually incurred, up to the price of the products concerned.

3. Notwithstanding the preceding paragraph, where the Consumer Contract Act or other mandatory laws apply, the provisions of such laws prevail.

Article 15 (Handling of Personal Information)

The Company handles your personal information in accordance with the Company's Privacy Policy.

Article 16 (Exclusion of Anti-Social Forces)

You represent and warrant, now and in the future, that you are not a member of an organized crime group, a member or quasi-member of such a group, a corporate racketeer, or any other anti-social force ("Anti-Social Forces"), and that you have no socially reprehensible relationship with Anti-Social Forces. If a violation is discovered, the Company may cancel your orders, suspend your use or delete your registration without notice, and is not liable for any damages you incur as a result.

Article 17 (Prohibition of Assignment)

You may not assign to a third party, or provide as security, your position under these Terms or your rights and obligations under these Terms without the Company's prior written consent.

Article 18 (Severability)

Even if any provision of these Terms is held invalid or unenforceable by law, the remaining provisions continue in full force and effect.

Article 19 (Changes to These Terms)

The Company may change these Terms in accordance with Article 548-4 of the Civil Code. In that case, the Company will announce the effective date and the revised content on the Site a reasonable period before the effective date. If you use the Site on or after the effective date, you are deemed to have agreed to the revised Terms.

Article 20 (Language)

The Japanese version of these Terms is the official text. In case of any discrepancy between the reference translations (English and Chinese) and the Japanese version, the Japanese version prevails.

Article 21 (Governing Law and Jurisdiction)

1. These Terms are governed by and construed in accordance with the laws of Japan.

2. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance for any dispute between the Company and you arising in connection with the use of the Site or the purchase of products. However, this does not preclude jurisdiction permitted by law in relation to customers who are consumers.
